1) About these Terms

  1. By accessing or participating in the Logos Blockchain Testnet Programme, including by running a node, interacting with the testnet infrastructure, or otherwise testing the Logos Blockchain Testnet, you agree that these terms and conditions (“Testnet Terms and Conditions”) apply to you (also referred to as the “Participant”). These Testnet Terms and Conditions therefore constitute a binding obligation between you and IFT. If you do not agree to these Testnet Terms and Conditions, you must not participate in the Logos Blockchain Testnet Programme.

  3. In these Testnet Terms and Conditions, whenever we refer to “we”, “our”, “us” (or variations thereof) or IFT, we are referring to IFT Studio Pte. Limited, a company incorporated under the laws of Singapore with registered number 201625575Z, and registered office at 160 Robinson Road, #24-09 Singapore 068914.

2) Introduction to Logos and the Logos Blockchain Testnet

  1. Logos is a modular technology stack that consists of a blockchain for trustless agreements and coordination (Logos Blockchain), decentralised storage (Logos Storage), an anonymous communication layer (Logos Messaging), and an integrated developer environment that packages all infrastructure components into a single runtime, enabling teams to build, test, and deploy applications efficiently (Logos Core).
  2. As part of the continued development of Logos, IFT has established a non-incentivised testnet programme (“Logos Blockchain Testnet Programme”) to allow participants to interact with and test a testnet version of the Logos Blockchain and its associated testnet components (“Logos Blockchain Testnet”) in realistic conditions.
  3. The Logos Blockchain Testnet Programme is intended primarily to support (i) testing of consensus and protocol-level functionality, (ii) node operation and validation, (iii) stress-testing of network behaviour, and (iv) identification of bugs and technical issues prior to any potential future mainnet deployment.
  4. It's important to note that at the initial launch and throughout the duration of the Logos Blockchain Testnet Programme, available functionalities and features may be limited and may require specific or evolving technical setups. This is typical for testnet releases as they serve as a proving ground for core infrastructure and allow for iterative improvements based on user feedback and testing results.
  5. To stay up-to-date with the latest available features and functionalities of the Logos Blockchain Testnet, interested parties can refer to the dedicated page that lists these details. This resource will provide the most current information on what users can expect to interact with on the testnet. Such documentation is provided for informational purposes only and may be updated at any time.

3) Privacy Policy

As part of your participation in the Logos Blockchain Testnet Programme, IFT will need to collect and process certain information on a limited basis, which may include personal data. The main purpose of IFT collecting and processing this personal data is in order to facilitate and administer such participation in the Logos Blockchain Testnet Programme.

4) Participation in the Logos Blockchain Testnet Programme

  1. Participation in the Logos Blockchain Testnet Programme is open to anyone who wishes to participate. There are no application, approval or selection processes for participation.
  2. However, participation may require minimum technical specifications, including hardware requirements necessary to operate a testnet node or otherwise interact with the Logos Blockchain Testnet.
  3. For those interested in joining the Logos Blockchain Testnet Programme, comprehensive technical documentation is available and potential Participants are encouraged to consult such documentation prior to joining and engaging with the Logos Blockchain Testnet.

5) Testnet Infrastructure

  1. You acknowledge that the Logos Blockchain Testnet Programme may involve infrastructure, services and components that are operated, controlled, facilitated or made available by IFT, whether directly or through third parties, to support testnet participation (“Testnet Infrastructure”) and certain functionality of the Logos Blockchain Testnet may be dependent on Testnet Infrastructure. You acknowledge that if any such Testnet Infrastructure is unavailable, modified, rate-limited, withdrawn or discontinued, some or all functionality of the Logos Blockchain Testnet may be limited or unavailable. Testnet Infrastructure may include, without limitation, services relating to network access, RPC endpoints, token distribution (including faucets), transaction processing, execution, transaction ordering, indexing, monitoring and related support functions.
  2. You further acknowledge and agree that IFT may, at its sole discretion and without notice or liability, modify, suspend, rate-limit, restrict access to, upgrade, patch (including by deploying hot fixes), redeploy, reconfigure or discontinue any Testnet Infrastructure or part of the Logos Blockchain Testnet at any time.
  3. Certain components supporting the Logos Blockchain Testnet may rely on tools or services provided by third parties (“Third Party Services”). Such Third Party Services may be subject to separate applicable terms and conditions or privacy policies which govern your use of those services, and you should refer to these prior to accessing or using such services. IFT does not control, endorse, or assume responsibility for any such Third Party Services and your access to or use of them is at your own risk. To the fullest extent permitted by applicable law, you waive any claims against IFT arising from or in connection with your access to or use of such Third Party Services.

6) Obligations of the Participant

  1. While participating in the Logos Blockchain Testnet Programme, you agree to comply with these Testnet Terms and Conditions.

  1. As a Participant, you are prohibited from the following:
  2. Engaging in, promoting, or contributing to any activities in violation of applicable law or violation of legal rights of any other individual or third party, including the rights of IFT;
  3. Engaging in any activities that are abusive, fraudulent, negligent, in bad faith or wilful misconduct;
  4. Misrepresenting your relationship with IFT as being anything more than being a Participant;
  5. Gaining or trying to gain unauthorised access to the Logos Blockchain Testnet or its components;
  6. Engaging in malicious or bad-faith conduct intended to disrupt, compromise or exploit the integrity, safety, security, availability or performance of the Logos Blockchain Testnet, including, but not limited to, sending any viruses, worms, malware, Trojan horses, or other harmful or destructive code or content, other than good-faith testing activities consistent with the purpose of the Logos Blockchain Testnet Programme;
  7. Violating any applicable third party service provider’s rules or policies;
  8. Encouraging or enabling any other Participant, other individual or entity to do any of the foregoing or otherwise to violate these Terms.
  9. You are responsible for all costs and expenses incurred by you in connection with your participation in the Logos Blockchain Testnet Programme.

  1. Non-incentivised Participation
    1. Participation in the Logos Blockchain Testnet Programme is entirely voluntary and non-incentivised. You acknowledge that, for now, there are no rewards, compensation or incentives of any kind with your participation in the Logos Blockchain Testnet Programme. You further acknowledge that participation in the Logos Blockchain Testnet Programme does not create any right, entitlement or expectation to receive tokens, governance rights, network roles, compensation or any other benefit now or in the future.
    2. For the avoidance of doubt, any feedback or other similar contributions about the Logos Blockchain Testnet that you might provide will also not be rewarded or compensated.
  2. Logos Blockchain Testnet Tokens
    1. As part of your participation in the Logos Blockchain Testnet Programme, you might accumulate testnet-only tokens (“Logos Blockchain Testnet Tokens”). These Logos Blockchain Testnet Tokens might be transferred to you by IFT or you might obtain them through other means, such as, through a faucet set up to distribute such testnet tokens to Participants of the Logos Blockchain Testnet Programme.
    2. You acknowledge that these Logos Blockchain Testnet Tokens are virtual items with no value of any kind and they are not convertible to any other currency, token, or any other form of property. You shall not transfer Logos Blockchain Testnet Tokens to any other users outside the Logos Blockchain Testnet Programme, nor shall you attempt to sell, trade, or transfer any Logos Blockchain Testnet Tokens outside of the Logos Blockchain Testnet. Any attempts to do so will be deemed null and void.
    3. You further acknowledge that Logos Blockchain Testnet Tokens have no persistence across testnet instances or phases. IFT may, in its sole discretion and without notice, terminate, reset, redeploy, reconfigure, re-genesis or otherwise replace the Logos Blockchain Testnet at any time, at which point any Logos Blockchain Testnet Tokens you may have accrued will cease to exist and will not be transferred, migrated, or otherwise available in any subsequent testnet. You further acknowledge that balances, transaction history, execution state, configuration data, and any other on-chain or off-chain data may be permanently rendered inaccessible or otherwise lost.

  1. Wallet

As part of your participation in the Logos Blockchain Testnet Programme, IFT may transfer you certain Logos Blockchain Testnet Tokens by way of a faucet as described in clause 8 of these Terms. You are solely responsible for the security of your wallet, including storing and securing your private keys. IFT does not and will not ask you for your private keys of your wallet. You are solely responsible for all activities that occur in relation to your wallet.

  1. Representations and warranties

You hereby represent and warrant to IFT that:

  1. you have the full right, power, and authority to enter into and be bound by the Terms and to perform your obligations under these Terms, without the approval or consent of any other party;
  2. the Terms will constitute a valid and binding obligation upon you, enforceable in accordance with its terms;
  3. to the extent you have provided any information to IFT, such information is true, accurate and complete in all material respects;
  4. that you are the rightful owner of any wallet addresses you have shared with IFT and have full authority to transfer, receive and manage any assets associated with such wallet addresses; and
  5. you do not and have not been involved in any type of activity associated with money laundering, terror financing, or any other activity prohibited by applicable anti-corruption or anti bribery legislation, nor were ever subject, to any investigation by, or have received a request for information from any governmental body relating to corruption or bribery.
  6. Disclaimers

  1. Except where governed by an applicable open-source licence, the Logos Blockchain Testnet, related software, and any Testnet Infrastructure are provided on an “as is” and “as available” basis. IFT makes no express or implied representations or warranties about or in connection with the Logos Blockchain Testnet. This includes warranties of merchantability, fitness for use or for a particular purpose, and non-infringement of any copyright or intellectual property rights. You acknowledge that your participation in the Logos Blockchain Testnet Programme was not on the basis of any statement, promise, representation or warranty that has not been set out in these Terms.
  2. You further acknowledge that the Logos Blockchain Testnet and any Testnet Infrastructure are experimental and under active development, provided solely for testing and development purposes, and may contain bugs, vulnerabilities, design flaws or other defects and may not operate as intended.

  1. Intellectual property

  1. While, in principle, the software and tools underlying Logos are made available under their respective open-source licences, it is possible that certain software or tools owned by IFT (or its affiliates) are not yet made available under such open-source licences. You acknowledge that your use of any open-source components is governed by the applicable open-source licence(s), and nothing in these Terms modifies, restricts or supersedes any rights or obligations under such open-source licences.
  2. To the extent that any software, service or tooling made available in connection with the Logos Blockchain Testnet Programme is not subject to an open-source licence, we grant you a non-exclusive, limited, revocable, terminable, personal and non-assignable licence to utilise such software or tools, solely for your participation in the Logos Blockchain Testnet Programme. Such licence will automatically expire upon the earlier of the cessation of the Logos Blockchain Testnet or the termination of your participation in the Logos Blockchain Testnet Programme.
  3. Limitation of liability

To the extent that any software, service or tooling made available in connection with the Logos Blockchain Testnet Programme is not subject to an applicable open-source licence, IFT, its affiliates and their respective employees and contractors (as applicable) and their representatives, will not be liable to you for any loss or damages suffered or incurred by you as a result of your participation in the Logos Blockchain Testnet Programme, provided that such action or omission did not constitute gross negligence, wilful misconduct or wilful default. Without prejudice to the aforementioned, the maximum aggregate liability of IFT under the Terms, whether in contract or otherwise, will not exceed the amount of USD 100. In any event, IFT will not be liable to you for any indirect or consequential loss.

  1. Indemnification

To the extent that any software, service or tooling made available in connection with the Logos Blockchain Testnet Programme is not subject to an applicable open-source licence, you agree to indemnify and hold harmless IFT, its affiliates and their respective employees and contractors (as applicable) and representatives, against any and all damage, loss, claims, liabilities, expenses, demands or proceedings (including without limitation reasonable expenses of investigation and legal fees and disbursements incurred on a solicitor and client basis in connection with any action, suit or proceeding) resulting from, a) your participation in the Logos Blockchain Testnet Programme, including your interaction with the Logos Blockchain Testnet; (b) any negligent act, wilful misconduct or fraud committed by you in connection with your participation in the Logos Blockchain Testnet Programme; c) your failure to comply with applicable laws; and d) your breach of these Terms.

  1. Updates to and the duration of the Logos Blockchain Testnet Programme

  1. The Logos Blockchain Testnet Programme will commence on a date determined by IFT and will continue until terminated by IFT in its sole discretion.

  1. IFT may however discontinue, or terminate, temporarily or permanently, any or any part of the Logos Blockchain Testnet Programme, at any time, without notice, and for any reason in its sole discretion.

  1. Miscellaneous
    1. Governing law

These Terms will be governed by and construed in accordance with the laws of Singapore, without giving effect to its conflict of law provisions. 

  1. Dispute resolution

We prefer arbitration over litigation as we believe it meets our principle of resolving disputes in the most effective and cost effective manner. You are bound by the following arbitration clause, which waives your right to litigation and to be heard by a judge. Please note that court review of an arbitration award is limited. You also waive all your rights to a jury trial (if any) in any and all jurisdictions.

If a (potential) dispute arises, you must first use your reasonable efforts to resolve it amicably with us. If these efforts do not result in a resolution of such dispute, you shall then send us a written notice of dispute setting out (i) the nature of the dispute, and the claim you are making; and (ii) the remedy you are seeking.

If we and you are unable to further resolve this dispute within sixty (60) calendar days of us receiving this notice of dispute, then any such dispute will be referred to and finally resolved by you and us through an arbitration administered by the Singapore International Arbitration Centre in accordance with the Arbitration Rules of the Singapore International Arbitration Centre for the time being in force, which rules are deemed to be incorporated herein by reference, and the arbitral decision may be enforced in any court. The seat of the arbitration will be Singapore, the tribunal will consist of one arbitrator, all proceedings will be kept confidential by the Parties and the language of the arbitration will be English.

  1. Relationship

Nothing in these Terms is intended to be or should be construed to create a partnership, joint venture, or employer-employee relationship between you and IFT.

  1. No waiver

IFT’s failure to exercise any right, power or remedy provided under or in relation to these Terms or otherwise available in respect of these Terms at law or in equity or otherwise will not constitute a waiver by IFT of its right to exercise any such or other right, power or remedy.

  1. Non-assignment

You are prohibited from assigning these Terms to any other person or party, without IFT’s prior written consent. IFT however reserves the right to assign or transfer these Terms or any of its rights and obligations hereunder to any other party.

  1. Entire agreement

These Terms constitute the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations, and understandings, whether oral or written, relating to such subject matter.

  1. Changes to these Terms

We reserve the right to modify the Terms at our sole discretion. If any modification is unacceptable to you, your only option is to cease your participation in the Logos Blockchain Testnet Programme. Your continued participation in the Logos Blockchain Testnet Programme following the posting of any such modifications will indicate and confirm your agreement to such modifications.
