1. About these Terms

  1. By submitting an application to the residency programme referred to as Field Station and expected to take place over one week in Rajasthan, India (“Programme”) you agree that these terms and conditions (“Application Terms”) apply to you (also referred to as an “Applicant”) when you submit an application for the Programme (“Application”). If you do not agree to these Application Terms, you must not submit an Application.
  2. In these Application Terms, whenever we refer to “we”, “our”, “us” (or variations thereof) or Logos, we are referring to Logos Collective Association, an association registered under the laws of Switzerland, with registered number CHE134145789, and registered office at Baarerstrasse 10, Zug, Switzerland.

2. Introduction to the Programme

  1. The Programme, also referred to as “Field Station”, is a one-week residency programme at a 500-acre regenerative project in Rajasthan, where accepted Applicants will come together to create a real, working parallel society: living, eating, debugging, and shipping solutions to real-world issues.

    The Programme takes place in collaboration with Zu-Grama, an experimental initiative focused on developing pro-human places and technologies and exploring new forms of community, coordination and collective living. Zu-Grama is operated and administered by C’est La Vie Sport LLP, an entity independent of Logos

    Residents will choose one of the four tracks listed below to build a prototype. At the end of the one-week programme, a demo day will give participants the opportunity to showcase their work for a chance to win milestone-based grants to continue the project.

3. Application

  1. Applicants shall submit their Application through the Application process designated by Logos and in accordance with any applicable instructions provided by Logos.
  2. The Applicant is responsible for ensuring that their Application is submitted correctly and before any applicable deadlines. Logos reserves the right to not consider any Application that is late, incomplete or submitted through an unauthorised channel.

4. Applicant representations and warranties;

  1. By submitting an Application, the Applicant represents and warrants that:
    1. the information provided is accurate, complete and not misleading;
    2. the Applicant is authorised to submit the Application;
    3. the Applicant has the right to submit all materials, documentation and links to works included with your Application and they do not infringe or misappropriate any third party rights,
    4. the Applicant is not a person or entity subject to sanctions. For the purposes of these Application Terms “sanctions” is understood to mean economic sanctions, embargoes, or restrictions by the United States (OFAC, State Dept.), United Nations Security Council, the European Union, the United Kingdom (incl. HMT), Switzerland (incl. SECO) or other authorities with jurisdiction over the Applicant;
  2. The Applicant shall notify Logos if any information relevant to their Application materially changes.

5. Selection

  1. Logos will, in its sole discretion, determine which Applicants, if any, are selected for the Programme.
  2. Logos may, in its sole discretion, determine and change the eligibility criteria, the methodology to select Applicants, timing and relevant participant reviewers and judges and any other aspect of the selection process for the Programme.
  3. Logos’ decisions regarding any selected Applicants is final and binding, subject to any rights that cannot be excluded under applicable law. Logos is not required to provide unsuccessful Applicants reasons or feedback for their rejection.
  4. Applicants acknowledge that submitting an Application does not create any right, expectation or guarantee of selection or participation, except as expressly stated in these Application Terms

6. Additional requirements

  1. Applicants acknowledge that their selection for the Programme may further be subject to additional steps or requirements and the acceptance of additional terms. These may include but not be limited to, additional interviews, further checks, consents, Programme terms and conditions, safety requirements, code of conduct and any other requirements or steps set by Logos.
  2. A selected Applicant who does not complete or accept all applicable additional requirements may be treated by Logos as ineligible to participate, notwithstanding any initial selection decision.

7. Changes and withdrawal

  1. Logos reserves the right in its sole discretion to amend, suspend, withdraw or cancel the Application process or the Programme, at any time, without notice and for any reason. Logos shall reasonably endeavour to provide written notice of any material changes to the Application process or the Programme.
  2. Logos further reserves the right to withdraw or amend its decision to select an Applicant for the following reasons:
    1. The Applicant is no longer eligible based on any eligibility criteria set by Logos;
    2. The Applicant has provided inaccurate or misleading information;
    3. The Applicant has not completed any additional steps or met any additional requirements;
    4. Where participation is no longer reasonably possible or would create a material legal, safety, security or operational concern as determined by Logos.
  3. Logos is not liable for any costs or expenses incurred by the Applicant in connection with their Application for the Programme or making arrangements in anticipation of their selection for or participation in the Programme.

8. Application materials

  1. The Applicant retains ownership of any intellectual property rights in the Application and any materials submitted in connection with the Application, subject to any third-party rights.
  2. The Applicant grants to Logos, and any contractors, partners or providers associated with administering and operating the Application process for the Programme and the Programme, a limited, non-exclusive, world-wide, royalty-free licence to copy, store, review and share the Application and materials submitted in connection with the Application for the following purposes:
    1. assess the Applicant for potential selection in the Programme;
    2. conduct the selection process for the Programme; and
    3. communicate with the Applicant.

9. Disclaimers

  1. Logos makes the following disclaimers in connection with the Programme and the Application process for the Programme:
    1. Logos does not provide any guarantees about the Programme, including any particular element or part of the Programme taking place or being offered, including any benefits or activities associated with the Programme;
    2. Logos does not guarantee any particular outcome from the Application process for the Programme, the Programme or any aspect of the Programme itself, including any projects, prototypes built, presentation or collaboration;
    3. Logos does not guarantee any benefits, funding or other support to a successful Applicant unless expressly agreed in writing with the successful Applicant.
  2. The Programme is operationally organised, administered and delivered by C’est La Vie Sport LLP, which operates and administers Zu-Grama and acts as the “Programme Operator” for the purposes of the Programme. Logos’ role is limited to assisting with the curation of the Programme and reviewing and selecting Applicants, with input from the Programme Operator and any relevant Programme partners. Any accommodation, travel, venue, services or any other arrangement entered into in connection with the Programme is between the successful Applicant (“Participant”) and Zu-Grama and may be subject to any additional terms and conditions agreed with the Programme Operator. Logos is not a party to those arrangements and is not responsible for the acts or omissions of the Programme Operator or other relevant third party, except to the extent required by applicable law.
  3. To the fullest extent permitted by applicable law, Logos will not be liable for any loss, cost, expense or damage arising out of or in connection with the Application process or the Programme, except to the extent caused by Logos’s gross negligence, fraud or wilful misconduct or liability that cannot lawfully be excluded or limited by applicable law.

10. Privacy

  1. Logos processes applicant personal data in accordance with the Application Privacy Policy and Applicants should refer to such document which explains how we process any personal data we receive in connection with an Application.

11. Governing law and dispute resolution

  1. This Agreement is governed by and will be construed in accordance with Swiss laws.
  2. The Parties shall make commercially reasonable efforts to reach an amicable settlement concerning any dispute arising out of or in connection with this Agreement. Provided that the Parties have failed to reach an amicable settlement, the Parties will refer to and finally resolve the dispute by arbitration administered by the Swiss Chambers’ Arbitration Institution in accordance with the Swiss Rules of International Arbitration for the time being in force, which rules are deemed to be incorporated herein by reference. The arbitral decision may be enforced in any court. The arbitration will be held in Zug, Switzerland and may be conducted via video conference virtual/online methods if possible. The tribunal will consist of one arbitrator, and all proceedings as well as communications between the parties will be kept confidential. The language of the arbitration will be in English. Payment of all relevant fees in respect of the arbitration, including filing, administration and arbitrator fees will be in accordance with the Swiss Rules of International Arbitration.

12. General

  1. Submitting an Application does not create a participant, employment, agency, partnership, joint-venture or other service relationship between the Applicant and Logos. These Terms only apply to the Application and selection process for the Programme.
  2. These Application Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior understandings and agreements between the parties.
  3. Logos’ failure to exercise any right, power or remedy provided under or in relation to these Application Terms or otherwise available in respect of these Application Terms at law or in equity or otherwise will not constitute a waiver by Logos of its right to exercise any such or other right, power or remedy.
  4. Applicants are prohibited from assigning these Application Terms to any other person or party, without Logos’ prior written consent. Logos however reserves the right to assign or transfer these Application Terms or any of its rights and obligations hereunder to any other party.
  5. Logos reserves the right to modify the Application Terms at our sole discretion. If any modification is unacceptable to you, your only option is to withdraw your Application.

13. Application confirmation

  1. By submitting an Application, the Applicant confirms that they have read, understood and agreed to these Application Terms.
